총칙

본 이용약관은 SAYPOP이 제공하는 SayFlow 애플리케이션, 관련 웹사이트, 문서, 고객지원 및 이에 부수하는 모든 기능에 적용됩니다.

이용자는 서비스를 설치, 접속 또는 이용함으로써 본 약관에 동의한 것으로 봅니다. 본 약관에 동의하지 않는 경우 서비스를 이용할 수 없습니다.

제1조 서비스의 성격

1. SayFlow는 이용자가 직접 설정한 API 키 또는 기기 내 사용 가능한 모델을 통해 여러 인공지능 모델과 대화하고, 대화 내용을 관리할 수 있도록 돕는 클라이언트 애플리케이션입니다.
2. 서비스는 인공지능 모델 자체, 외부 API, 통신망, 결제수단 또는 제3자 계정을 제공하거나 운영하지 않습니다.
3. 외부 인공지능 제공자, 앱 마켓, 운영체제, 기기 성능, 네트워크, 지역, 계정 상태, 요금제, 모델 정책에 따라 제공되는 기능과 결과가 달라질 수 있습니다.

제2조 정의

1. "서비스"란 SayFlow와 관련 웹사이트 및 부가 기능을 의미합니다.
2. "이용자"란 본 약관에 동의하고 서비스를 이용하는 개인 또는 법인을 의미합니다.
3. "이용자 콘텐츠"란 이용자가 서비스에 입력, 업로드, 첨부, 저장, 전송 또는 가져오는 프롬프트, 대화, 파일, 이미지, 지시문, 설정 및 기타 정보를 의미합니다.
4. "생성 결과"란 외부 또는 기기 내 인공지능 모델이 이용자 콘텐츠를 기반으로 생성하거나 반환하는 텍스트, 요약, 추론, 코드, 설명, 번역, 검색 결과 또는 기타 산출물을 의미합니다.
5. "외부 제공자"란 OpenAI, Google, Anthropic, xAI, DeepSeek, Apple 및 이용자가 선택하거나 설정한 기타 API, 모델, 검색, 저장, 결제 또는 플랫폼 제공자를 의미합니다.

제3조 계정, API 키 및 비용

1. 이용자는 자신이 사용하는 외부 제공자 계정, API 키, 접근 토큰, 결제수단, 사용량 한도 및 관련 보안 설정을 직접 관리할 책임이 있습니다.
2. 외부 제공자의 API 이용료, 모델 사용료, 검색 또는 도구 사용료, 데이터 요금, 환율, 세금, 환불, 한도 초과 또는 과금 오류는 해당 외부 제공자의 정책과 이용자 계정 상태에 따릅니다.
3. 당사는 외부 제공자의 과금, 요금 변경, 사용량 산정, 결제 실패, 환불 거절, 키 유출, 무단 사용 또는 계정 제한에 대하여 책임을 지지 않습니다.
4. 이용자는 API 키 등 인증 정보를 타인에게 공유하거나 공개 저장소, 공개 프롬프트, 첨부파일, 대화 내용에 포함하지 않아야 합니다.

제4조 금지사항

이용자는 서비스를 이용하면서 다음 행위를 하여서는 안 됩니다.

1. 관련 법령, 외부 제공자 정책, 앱 마켓 정책 또는 본 약관을 위반하는 행위
2. 저작권, 상표권, 영업비밀, 초상권, 명예권, 개인정보 또는 기타 권리를 침해하는 행위
3. 타인의 개인정보, 비밀정보, 인증정보, 결제정보 또는 민감정보를 권한 없이 입력, 수집, 저장, 전송하는 행위
4. 허위정보, 명예훼손, 협박, 괴롭힘, 차별, 혐오, 성착취, 아동 안전 침해 또는 불법 콘텐츠를 생성하거나 유포하는 행위
5. 악성코드, 피싱, 스팸, 봇, 보안 우회, 취약점 악용 또는 무단 접근을 위한 콘텐츠를 생성하거나 실행하는 행위
6. 의료, 법률, 금융, 투자, 세무, 안전, 채용, 신용, 보험 등 고위험 의사결정을 자동화하거나 전문가 판단을 대체하는 용도로 서비스를 사용하는 행위
7. 서비스 또는 외부 제공자의 속도 제한, 사용량 제한, 안전장치, 지역 제한, 결제 제한 또는 접근 제한을 우회하는 행위
8. 서비스에 포함된 소프트웨어, UI, 리소스 또는 저작물을 복제, 리버스 엔지니어링, 디컴파일, 디스어셈블 또는 변형하는 행위
9. 자동화된 수단으로 서비스, 문서, 웹사이트 또는 콘텐츠를 대량 수집, 복제, 재배포하거나 경쟁 서비스 구축에 이용하는 행위
10. 당사 콘텐츠를 인공지능, 머신러닝 또는 대규모 언어모델의 학습, 미세조정, 검색증강생성, 평가 데이터셋 구축에 이용하는 행위
11. 서비스 운영, 보안, 평판 또는 다른 이용자의 이용을 방해하거나 방해할 우려가 있는 행위
12. 기타 당사가 부적절하거나 위험하다고 합리적으로 판단하는 행위

제5조 AI 기능 및 생성 결과

1. 생성 결과는 자동 생성된 참고 정보이며, 사실과 다르거나 오래된 정보, 편향, 누락, 오류, 부정확한 코드, 부적절한 표현 또는 제3자 권리 침해 소지가 포함될 수 있습니다.
2. 당사는 생성 결과의 정확성, 완전성, 최신성, 적법성, 안전성, 유용성, 특정 목적 적합성, 권리 비침해성 또는 지속 제공 가능성을 보증하지 않습니다.
3. 이용자는 생성 결과를 사용하기 전에 독립적으로 검토, 검증, 수정하여야 하며, 생성 결과의 채택, 공개, 배포, 실행 또는 의사결정 활용에 대한 모든 책임은 이용자에게 있습니다.
4. 생성 결과는 전문적인 의료, 법률, 금융, 투자, 세무, 심리, 안전, 기술, 보안 또는 기타 전문가 조언을 대체하지 않습니다.
5. 추론 과정, 검색 결과, 도구 호출, 토큰 사용량, 비용 추정치 또는 모델 응답 시간은 외부 제공자와 네트워크 상태에 따라 다를 수 있으며 정확성을 보장하지 않습니다.

제6조 외부 제공자 및 웹 검색

1. 이용자가 외부 제공자 기능, 웹 검색, 첨부파일 분석, 모델 호출 또는 기타 연동 기능을 사용하는 경우, 이용자 콘텐츠와 필요한 메타데이터가 해당 외부 제공자에게 전송, 저장, 분석 또는 처리될 수 있습니다.
2. 외부 제공자의 서비스 품질, 정책, 보안, 개인정보 처리, 데이터 보존, 학습 사용 여부, 가용성, 응답 속도, 검열, 안전 필터, 장애, 요금, 모델 변경 또는 기능 종료는 당사의 통제 범위 밖에 있습니다.
3. 웹 검색 또는 외부 링크를 통해 표시되는 정보는 제3자가 제공하는 정보이며, 당사는 그 내용의 정확성, 안전성, 적법성, 최신성 또는 신뢰성을 보증하지 않습니다.
4. 이용자는 외부 제공자의 약관, 개인정보처리방침, 사용 정책, 라이선스 및 법령을 직접 확인하고 준수하여야 합니다.

제7조 데이터, 백업 및 보안

1. 이용자 콘텐츠, 대화 기록, 설정, 첨부파일, API 키, 동기화 상태 또는 백업 데이터의 보존, 삭제, 내보내기, 복원, 암호화 및 접근 관리는 이용자의 책임입니다.
2. 기기 변경, 앱 삭제, 운영체제 업데이트, 저장공간 부족, 파일 손상, 동기화 충돌, 외부 제공자 장애, 네트워크 문제, 버전 차이 또는 이용자의 조작으로 데이터가 유실, 훼손, 지연, 중복, 노출 또는 복원 불가능해질 수 있습니다.
3. 당사는 데이터 유실, 손상, 동기화 오류, 백업 실패, 복원 실패, 보안 사고, 인증정보 유출 또는 무단 접근이 발생하지 않는다고 보증하지 않으며, 관련 손해에 대하여 책임을 지지 않습니다.
4. 이용자는 민감한 개인정보, 비밀정보, 영업비밀, 인증정보, 미공개 자료 또는 제3자 권리가 있는 자료를 입력하거나 첨부하기 전에 필요한 권한과 위험을 직접 확인하여야 합니다.

제8조 서비스 변경, 제한 및 종료

1. 당사는 사전 통지 없이 언제든지 서비스의 전부 또는 일부를 변경, 제한, 중단, 유료화, 무료 제공 종료 또는 종료할 수 있습니다.
2. 당사는 운영, 보안, 법령 준수, 외부 제공자 정책, 앱 마켓 심사, 기술적 문제, 남용 방지 또는 기타 합리적인 사유가 있는 경우 이용자의 서비스 접근 또는 특정 기능 이용을 제한할 수 있습니다.
3. 서비스 변경, 제한, 중단 또는 종료로 인한 데이터 손실, 비용, 기회 상실, 업무 중단 또는 기타 손해에 대하여 당사는 책임을 지지 않습니다.

제9조 면책 및 책임 제한

1. 서비스는 "있는 그대로" 및 "이용 가능한 범위에서" 제공됩니다. 당사는 명시적, 묵시적, 법정 또는 기타 어떠한 방식으로도 서비스와 생성 결과에 관한 보증을 하지 않습니다.
2. 당사는 서비스 이용 또는 이용 불능, 생성 결과, 외부 제공자, 웹 검색, 첨부파일 처리, API 키, 과금, 데이터, 보안, 기기, 네트워크 또는 제3자 행위와 관련하여 발생하는 직접, 간접, 우발, 특별, 징벌, 결과적 손해 및 영업손실, 수익손실, 데이터 손실, 평판 손상, 대체 서비스 비용에 대하여 책임을 지지 않습니다.
3. 관련 법령상 책임 제한이 허용되지 않는 경우에도 당사의 총 책임은 이용자가 손해 발생 전 3개월 동안 당사에 실제로 지급한 금액 또는 10,000원 중 큰 금액을 한도로 합니다.
4. 이용자가 본 약관, 법령, 외부 제공자 정책 또는 제3자 권리를 위반하여 당사에 손해, 청구, 분쟁, 비용 또는 법률상 책임이 발생한 경우 이용자는 당사를 방어하고 면책하며 그 손해를 배상하여야 합니다.
5. 본 조항은 계약, 불법행위, 과실, 무과실책임, 보증 위반 또는 기타 어떠한 법적 근거에 따른 청구에도 최대한 허용되는 범위에서 적용됩니다.

제10조 지식재산권

1. 서비스, 상표, 로고, 디자인, UI, 문서, 코드, 리소스 및 당사가 제공하는 콘텐츠에 관한 권리는 당사 또는 정당한 권리자에게 귀속됩니다.
2. 이용자 콘텐츠에 관한 권리는 이용자 또는 정당한 권리자에게 귀속됩니다. 이용자는 서비스를 통해 이용자 콘텐츠를 처리하는 데 필요한 권한을 보유함을 보증합니다.
3. 생성 결과에 대한 권리 귀속과 이용 가능 범위는 관련 법령, 외부 제공자 정책 및 입력된 이용자 콘텐츠의 권리 관계에 따라 달라질 수 있으며, 이용자는 이를 직접 확인하여야 합니다.

제11조 이용자 정보

1. 당사는 이용자 정보를 개인정보처리방침에 따라 처리합니다.
2. 서비스 제공, 고객지원, 보안, 남용 방지, 품질 개선, 법령 준수 또는 외부 제공자 연동을 위하여 필요한 범위의 정보가 처리될 수 있습니다.
3. 이용자가 외부 제공자 기능을 사용하는 경우 해당 정보 처리는 각 외부 제공자의 정책에도 따를 수 있습니다.

제12조 약관의 변경

당사는 필요한 경우 본 약관을 개정할 수 있습니다. 개정된 약관은 서비스 또는 웹사이트에 게시된 때부터 효력이 발생하며, 이용자가 변경 후 서비스를 계속 이용하는 경우 변경된 약관에 동의한 것으로 봅니다.

제13조 양도

1. 이용자는 당사의 사전 서면 동의 없이 본 약관상 지위 또는 권리와 의무를 양도, 이전, 재허락, 담보 제공 또는 처분할 수 없습니다.
2. 당사가 서비스와 관련된 사업을 이전하거나 조직을 개편하는 경우, 당사는 본 약관상 지위, 권리와 의무 및 관련 정보를 이전할 수 있습니다.

제14조 분리 가능성

본 약관의 일부 조항이 무효, 위법 또는 집행 불가능하더라도 나머지 조항은 계속 효력을 유지합니다. 해당 조항은 가능한 범위에서 본래 의도와 가장 가까운 유효한 조항으로 해석되거나 대체됩니다.

General Provisions

These Terms of Service apply to the SayFlow application, related websites, documentation, customer support, and all features incidental to them provided by SAYPOP.

By installing, accessing, or using the service, users are deemed to have agreed to these Terms. Users who do not agree to these Terms may not use the service.

Article 1. Nature of the Service

1. SayFlow is a client application that helps users chat with multiple AI models and manage conversations through API keys configured by the user or models available on the user's device.
2. The service does not provide or operate AI models themselves, third-party APIs, communication networks, payment methods, or third-party accounts.
3. Available features and results may vary depending on external AI providers, app stores, operating systems, device performance, networks, regions, account status, plans, and model policies.

Article 2. Definitions

1. "Service" means SayFlow, related websites, and ancillary features.
2. "User" means any individual or entity that agrees to these Terms and uses the service.
3. "User Content" means prompts, conversations, files, images, instructions, settings, and other information that a user enters, uploads, attaches, stores, transmits, or imports into the service.
4. "Output" means text, summaries, reasoning, code, explanations, translations, search results, or other content generated or returned by an external or on-device AI model based on User Content.
5. "External Provider" means OpenAI, Google, Anthropic, xAI, DeepSeek, Apple, and any other API, model, search, storage, payment, or platform provider selected or configured by the user.

Article 3. Accounts, API Keys, and Costs

1. Users are responsible for managing the External Provider accounts, API keys, access tokens, payment methods, usage limits, and related security settings they use.
2. API fees, model usage fees, search or tool usage fees, data charges, exchange rates, taxes, refunds, excess usage, and billing errors of External Providers are governed by the applicable External Provider's policies and the user's account status.
3. We are not liable for External Provider billing, pricing changes, usage calculation, payment failures, refund denials, key leakage, unauthorized use, or account restrictions.
4. Users must not share API keys or other credentials with others or include them in public repositories, public prompts, attachments, or conversations.

Article 4. Prohibited Conduct

Users must not engage in any of the following conduct while using the service.

1. Violating applicable laws, External Provider policies, app store policies, or these Terms
2. Infringing copyrights, trademarks, trade secrets, portrait rights, reputation, privacy, personal information, or other rights
3. Entering, collecting, storing, or transmitting another person's personal information, confidential information, credentials, payment information, or sensitive information without authority
4. Generating or distributing false information, defamation, threats, harassment, discrimination, hate, sexual exploitation, child safety violations, or illegal content
5. Generating or executing content for malware, phishing, spam, bots, security bypass, vulnerability exploitation, or unauthorized access
6. Using the service to automate high-risk decisions or replace professional judgment in medical, legal, financial, investment, tax, safety, employment, credit, insurance, or similar contexts
7. Circumventing rate limits, usage limits, safeguards, regional restrictions, billing limits, or access restrictions of the service or External Providers
8. Copying, reverse engineering, decompiling, disassembling, or modifying software, UI, resources, or works included in the service
9. Using automated means to mass collect, copy, redistribute, or use the service, documentation, websites, or content to build a competing service
10. Using our content to train, fine-tune, support retrieval augmented generation, or build evaluation datasets for AI, machine learning, or large language models
11. Interfering or potentially interfering with service operation, security, reputation, or other users' use of the service
12. Any other conduct that we reasonably determine to be inappropriate or risky

Article 5. AI Features and Output

1. Output is automatically generated reference information and may contain false or outdated information, bias, omissions, errors, inaccurate code, inappropriate expressions, or potential infringement of third-party rights.
2. We do not guarantee the accuracy, completeness, timeliness, legality, safety, usefulness, fitness for a particular purpose, non-infringement, or continued availability of Output.
3. Users must independently review, verify, and modify Output before using it, and users are solely responsible for adopting, publishing, distributing, executing, or relying on Output for decisions.
4. Output does not replace professional medical, legal, financial, investment, tax, psychological, safety, technical, security, or other expert advice.
5. Reasoning processes, search results, tool calls, token usage, cost estimates, and model response times may vary depending on External Providers and network conditions, and their accuracy is not guaranteed.

Article 6. External Providers and Web Search

1. When users use External Provider features, web search, attachment analysis, model calls, or other integrations, User Content and necessary metadata may be transmitted to, stored by, analyzed by, or processed by the applicable External Provider.
2. Service quality, policies, security, privacy practices, data retention, training use, availability, response speed, filtering, safety filters, outages, fees, model changes, or termination of features by External Providers are outside our control.
3. Information displayed through web search or external links is provided by third parties, and we do not guarantee its accuracy, safety, legality, timeliness, or reliability.
4. Users must independently review and comply with External Provider terms, privacy policies, usage policies, licenses, and applicable laws.

Article 7. Data, Backups, and Security

1. Users are responsible for retaining, deleting, exporting, restoring, encrypting, and managing access to User Content, conversation history, settings, attachments, API keys, sync status, and backup data.
2. Data may be lost, corrupted, delayed, duplicated, exposed, or become unrecoverable due to device changes, app deletion, operating system updates, insufficient storage, file corruption, sync conflicts, External Provider outages, network problems, version differences, or user actions.
3. We do not guarantee that data loss, corruption, sync errors, backup failures, restoration failures, security incidents, credential leakage, or unauthorized access will not occur, and we are not liable for related damages.
4. Before entering or attaching sensitive personal information, confidential information, trade secrets, credentials, non-public materials, or materials subject to third-party rights, users must independently confirm the necessary authority and risks.

Article 8. Service Changes, Restrictions, and Termination

1. We may change, restrict, suspend, monetize, end free availability of, or terminate all or part of the service at any time without prior notice.
2. We may restrict a user's access to the service or certain features when there are reasonable grounds, including operation, security, legal compliance, External Provider policies, app store review, technical issues, abuse prevention, or other reasons.
3. We are not liable for data loss, costs, lost opportunities, business interruption, or other damages caused by changes, restrictions, suspension, or termination of the service.

Article 9. Disclaimer and Limitation of Liability

1. The service is provided on an "as is" and "as available" basis. We make no express, implied, statutory, or other warranties regarding the service or Output.
2. We are not liable for any direct, indirect, incidental, special, punitive, consequential damages, loss of business, lost profits, data loss, reputational harm, or replacement service costs arising from or related to use or inability to use the service, Output, External Providers, web search, attachment processing, API keys, billing, data, security, devices, networks, or third-party conduct.
3. Even where limitation of liability is not permitted under applicable law, our total liability is limited to the greater of the amount actually paid by the user to us during the three months before the damage occurred or KRW 10,000.
4. If we incur damages, claims, disputes, costs, or legal liability due to a user's violation of these Terms, applicable laws, External Provider policies, or third-party rights, the user must defend, indemnify, and hold us harmless.
5. This Article applies to the maximum extent permitted to claims based on contract, tort, negligence, strict liability, breach of warranty, or any other legal theory.

Article 10. Intellectual Property

1. Rights in the service, trademarks, logos, designs, UI, documentation, code, resources, and content provided by us belong to us or the lawful rights holders.
2. Rights in User Content belong to the user or lawful rights holders. Users represent that they have the authority necessary to process User Content through the service.
3. Ownership of and permitted use of Output may vary depending on applicable laws, External Provider policies, and the rights associated with the entered User Content, and users must verify them independently.

Article 11. User Information

1. We handle user information in accordance with our Privacy Policy.
2. Information may be processed to the extent necessary for service provision, customer support, security, abuse prevention, quality improvement, legal compliance, or External Provider integrations.
3. When users use External Provider features, the processing of such information may also be subject to each External Provider's policies.

Article 12. Changes to the Terms

We may revise these Terms when necessary. Revised Terms become effective when posted in the service or on the website, and continued use of the service after the change means the user agrees to the revised Terms.

Article 13. Assignment

1. Users may not assign, transfer, sublicense, pledge, or otherwise dispose of their status, rights, or obligations under these Terms without our prior written consent.
2. If we transfer the business related to the service or reorganize, we may transfer our status, rights, obligations, and related information under these Terms.

Article 14. Severability

If any provision of these Terms is invalid, unlawful, or unenforceable, the remaining provisions will remain in effect. The affected provision will be interpreted or replaced, to the extent possible, by a valid provision closest to its original intent.
